1. Introduction
Welcome to Piano.Center ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and applications (collectively, the "Service"). By accessing or using Piano.Center, you agree to be bound by these Terms.
Piano.Center is a marketplace connecting piano artists who create and sell digital products (sheet music, MIDI files, and audio recordings) with customers who purchase these products. We facilitate transactions but do not create the content sold on our platform.
2. Definitions
"Artist" refers to any user who creates an account to sell digital products on Piano.Center.
"Customer" refers to any user who creates an account to purchase digital products.
"Digital Products" refers to sheet music (PDF), MIDI files, and audio recordings offered for sale on the platform.
"Content" refers to any materials uploaded to the platform, including but not limited to Digital Products, descriptions, images, and profile information.
3. Account Registration
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Service.
4. Artist Terms
Artists who sell products on Piano.Center agree to the following terms:
4.1 Content Ownership
You retain ownership of the Digital Products you upload. By uploading content, you grant Piano.Center a non-exclusive, worldwide license to display, distribute, and promote your products on the platform.
4.2 Intellectual Property
You represent and warrant that you own or have the necessary rights to sell the Digital Products you upload. You are solely responsible for ensuring your content does not infringe upon third-party intellectual property rights.
4.3 Pricing
You set the prices for your Digital Products. Piano.Center reserves the right to offer promotional discounts with prior notice to Artists.
4.4 Payouts
Artists receive 85% of the sale price for each transaction. Payouts are processed through Stripe Connect. See our Escrow Terms for detailed payout timing and procedures.
5. Customer Terms
Customers who purchase products on Piano.Center agree to the following terms:
5.1 License Grant
When you purchase a Digital Product, you receive a personal, non-exclusive, non-transferable license to use the content for personal or educational purposes unless otherwise specified by the Artist.
5.2 Prohibited Uses
You may not redistribute, resell, or share purchased Digital Products. You may not use purchased content for commercial purposes without explicit permission from the Artist.
5.3 Refund Policy
Due to the digital nature of our products, all sales are final. Refunds may be granted at our discretion in cases of technical issues or duplicate purchases.
6. Payment Processing
All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy.
We use an escrow system to protect both Artists and Customers. Funds are held securely and released to Artists after the applicable holding period. See our Escrow Terms for complete details.
7. Prohibited Content
Users may not upload, post, or transmit any content that:
- Infringes on intellectual property rights of others
- Contains malware, viruses, or harmful code
- Is illegal, defamatory, or violates the rights of others
- Misrepresents the identity of the uploader
- Contains adult, violent, or otherwise inappropriate material
Piano.Center reserves the right to remove any content that violates these Terms without prior notice.
8. Termination
We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
Upon termination, your right to use the Service will immediately cease. Any content you have uploaded may be removed from the platform.
If your Artist account is terminated, any pending payouts may be withheld pending investigation of any disputes or violations.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
We are not responsible for the quality, accuracy, or legality of content uploaded by Artists. We do not guarantee that Artists have the rights to sell the content they upload.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIANO.CENTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
11. Indemnification
You agree to indemnify and hold harmless Piano.Center, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the platform and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
